WOOASK Transcription Membership Service Agreement

This agreement is an effective contract between you (hereinafter referred to as "user" or "you") and SHENZHEN WOOASK TECHNOLOGY CO.,LTD and its affiliates (hereinafter referred to as "WOOASK") for the use of WOOASK transcription membership service and related services . In order to use the WOOASK transcription membership service (referred to as: this service), please carefully read, understand and abide by the "WOOASK transcription membership service agreement" (referred to as this agreement). This agreement is jointly concluded by you and the WOOASK transcription member service provider, and has the effect of a contract. There are corresponding clauses related to exemption or limitation of liability (hereinafter referred to as "exemption clauses"), clauses restricting user rights (hereinafter referred to as "restrictions clauses"), and clauses stipulating dispute resolution methods and jurisdiction. The aforesaid exemption, limitation and dispute resolution methods and jurisdiction clauses may be bolded in bold, marked with color or other reasonable methods to remind you, and please read them carefully. Your confirmation of these terms may cause you to be passive in certain circumstances. , Inconvenience, loss, please read the foregoing terms again before confirming your agreement to this agreement or before using WOOASK's membership service.

Ⅰ. Definitions and Instructions

1.1 [WOOASK Transcription Members and Accounts ]

If you need to use and enjoy the WOOASK membership transcription service, you need to use your legally-used WOOASK account or a third-party login account as a member account, and enjoy the membership service related to the recharge limit after recharging (including accepting gifts) , You are the WOOASK transcription standard member/premium member user. Also referred to as "you", "user" or "member" under these terms. The WOOASK transcription standard membership service and the WOOASK transcription premium membership service are two different types of membership services. Please choose to activate related services according to your needs.

1.2 [Service]

WOOASK transcription members can enjoy exclusive membership rights and special services in the WOOASK transcription APP, including but not limited to cloud storage, monthly free transcribing time, batch transcribing quantity, etc. The specific content is based on the description in the WOOASK transcription member service page. Different membership levels can enjoy different rights and services. As you understand and agree, WOOASK have the right to change, adjust, cancel and increase all or part of the membership rights and special membership services according to the market conditions.

1.3 [WOOASK Transcription Membership Rules]

WOOASK has the right to modify the terms of service at any time (modifications include changes, additions, and reductions of the content of the corresponding terms). Once the terms of service are modified, WOOASK will update and display on the relevant page. If you do not agree to the modification of these terms, you can stop using the service. If you continue to use the services provided by WOOASK, it is deemed that you have accepted all the amendments to these terms.

1.4 [This Agreement]

1.4.1 This agreement is regarded as the supplement of WOOASK Service Agreement (if the link address is changed, the content corresponding to the changed link address shall prevail; for other link address changes, the foregoing agreement shall apply.), and WOOASK Transcription Service Agreement. It is an integral part and forms a unified whole with it. If there is a conflict between this agreement and the above content, this agreement shall prevail.

1.4.2 The content of this agreement also includes relevant agreements and business rules that WOOASK may continue to publish on this service. Once the above content is officially released, it is an integral part of this agreement and is also effective for both parties.

Ⅱ. Account Management And Usage Rules

2.1 [Account Management]

2.1.1 You should correctly use, properly keep and maintain your WOOASK account number and password. In case of any leakage, loss, theft, etc., and such actions are not caused by WOOASK's legal fault, all losses will be borne by you;

2.1.2 You hereby grant WOOASK the right to protect the security of your account. WOOASK can check and verify the security of your account in different ways on a regular or irregular basis, including but not limited to actively contacting you for identity verification, short messages verification, email authentication and password modification, etc. If you are unable to complete the verification or refuse to verify without proper reason, WOOASK can reasonably suspect that your account is abnormal or stolen, and suspend the provision of services to the account or take further measures.

2.2 [Rules of Use]

2.2.1 [Legal Acquisition and Use]

(1) The WOOASK transcribing member service is limited to your use in the WOOASK transcribing platform. Any act of separating the WOOASK transcribing service from the WOOASK transcribing platform by illegal means such as cracking, transcribing, transcribing does not belong to the WOOASK transcribing member service stipulated in this clause. WOOASK reserves the right to pursue the legal liability and claim of the infringer.

(2) No member service obtained by stealing, exploiting system loopholes, WOOASK transcription membership services through any non-official or authorized means (including but not limited to purchase, rent, borrow, share, assign, etc.), maliciously exploiting or destroying WOOASK transcription membership activities shall be protected, WOOASK shall have the right to cancel and/or not provide membership services, and all losses and liabilities arising shall be borne by the perpetrator himself.

(3) When using WOOASK transcribing member services and/or participate in related activities, it should also be done through WOOASK's official announcement/authorization. If the user illegally obtains WOOASK through any other channels, any means, and any means to transcribing membership services (including but not limited to account numbers, membership rights, membership service activation codes, etc.) or participate in activities to obtain benefits (including but not limited to obtaining physical/virtual Gifts, membership rights, membership service activation codes, etc.) are not protected, and once discovered, WOOASK has the right to delete, cancel, clear, etc. related services immediately, or take other actions such as suspension or termination of services to you, etc. Account management measures, all losses and responsibilities incurred shall be borne by the perpetrator.

(4) When you participate in member activities, you should follow the rules of the activity, in a way that is legal and does not harm the organizer of the activity. Taking advantage of system loopholes, rule setting defects, system setting errors, abusing of membership status etc to participate in the activity and obtain relevant benefits are not protected, and WOOASK has the right to take relevant measures to deal with it, and all losses and responsibilities incurred shall be borne by the perpetrators themselves.

2.2.2 [Proprietary and Non-commercial Use]

(1) WOOASK's membership service is a personal, non-transferable and non-exclusive license granted by WOOASK on the premise that you comply with these terms and relevant laws and regulations. You can only use it for non-commercial purposes and only for private use.

(2) You understand and agree that you may not provide the WOOASK account with membership services to others in any way, including but not limited to not transferring, renting, borrowing, sharing, selling, etc. to others for including but not limited to Use for sharing, uploading, participating in activities, etc. Otherwise, any legal consequences and responsibilities arising therefrom shall be borne by you, and WOOASK has the right to suspend or terminate the provision of services to you.

2.2.3 [Account Independent]

(1) If the same entity has multiple WOOASK accounts and performs WOOASK transcription member login, each WOOASK account will be recognized as an independent account.

(2) The recharge records, audio data, membership rights, time packages resources, etc. between each account cannot be transformed, migrated, transferred, gifted, sold, rented, or shared. Regardless of whether these accounts are owned by the same user, please be careful when logging in and/or recharging/participating in activities to avoid losses.

2.2.4 [Login Restrictions]

You understand and agree that after you activate this service, the same account can login in up to six devices ("devices" include but not limited to handheld mobile terminal devices such as computers and mobile phones, tablets, the same below), can be used on up to two devices at the same time. If used beyond the above range, WOOASK will suspend or terminate the service to you according to the situation. The losses caused will be borne by you, and WOOASK reserves the right to take further measures.

2.2.5 [Account Retrieve]

If the WOOASK account information you used when logging in to WOOASK transcription is lost, or the password is forgotten, so that you cannot log in to WOOASK transcription, if you need to retrieve it, you need to provide corresponding information and certification in accordance with the requirements of the WOOASK official account retrieval process. In order to ensure the legality, authenticity and validity of the provided information and supporting documents, if the provided materials are untrue or do not meet the requirements, you cannot pass WOOASK's security verification, which may result in failure to retrieve your account. The corresponding risks and losses will be borne by you. You understand that it takes reasonable time for WOOASK to take action and process your request, except for WOOASK's statutory fault, WOOASK shall not be liable for your losses.

Ⅲ. Service Content

3.1 [Member Privileges]

3.1.1 After you activate the membership service, you will enjoy the corresponding service experience based on your recharge record and the relevant activities you participated in. The specific content published on the relevant service page and actually provided shall prevail.

3.1.2 All the rights and interests you can enjoy after purchasing WOOASK transcription members are subject to the member rights published on WOOASK transcription official website. WOOASK has the right to change all or part of the membership rights based on its own business development needs. In response to the aforementioned adjustment of rights and interests, WOOASK will update the display on the corresponding service page. You can also inquire about the latest member rights and interests through WOOASK's official website or mobile terminal. At the same time, we also encourage you to check the content of this agreement regularly to better protect your rights.

3.2 [Virtual Product]

Based on the nature and characteristics of the virtual product, the virtual product you have obtained cannot be returned, exchanged, or exchanged for cash, nor can it be used in commercial areas, such as trading, replacement, mortgage, etc. All virtual products and derivative services obtained through unofficial announcement channels are not protected, and WOOASK has the right to suspend or terminate the service to you.

3.3 [Equipment and System Differences]

After you activate this service through WOOASK's designated channels, there may be differences in the specific services you can actually use due to different software versions, equipment, operating systems, and other third-party reasons. You understand the inconvenience this may cause you, and you will not call to account or exempt from WOOASK's related responsibilities.

3.4 [About Charges]

This service is a fee-based service provided by WOOASK. You must pay the corresponding fee in accordance with the fee standard of this service before you can use this service. WOOASK may revise and change the relevant rights and interests rules, charging standards, methods, etc. of this service according to the overall plan of this service. For the aforementioned modifications and changes, WOOASK will update and display on the corresponding service page. WOOASK will give different discounts to members who recharge and renew at different stages according to the actual situation. The specific preferential policies are subject to the information published by WOOASK on the relevant service pages. At the same time, we also encourage you to check the content of this agreement regularly to better protect your rights. You hereby understand and agree that due to different activities or membership levels, WOOASK transcription members will enjoy different value-added services or tariffs.

3.5 [Payment]

3.5.1 You should use existing methods specified by WOOASK, including but not limited to Alipay payment, WeChat payment, etc., or methods specified by WOOASK in the future, and pay in accordance with the agreement. After the payment is completed, you cannot transfer or unsubscribe.

3.5.2 You may not activate this service for yourself or others in any of the following ways:

(1) Activate this service for yourself or others for non-personal use purposes such as profit, business, etc.;

(2) Activate this service for yourself or others through any program or software method such as any robot software, spider software, crawler software, and screen swipe software;

(3) Activate this service for yourself or others through any improper means or in a way that violates the principle of good faith;

(4) Activate this service for yourself or others through a method not specified by WOOASK;

(5) Activate this service for yourself or others by infringing on the legal rights of WOOASK or others;

(6) Activate this service for yourself or others through other methods that violate relevant laws, administrative regulations, national policies, etc.;

3.6 [Service Period]

3.6.1 The term of this service is subject to the term you choose and pay the corresponding service fee. You can also log in to the WOOASK transcription member center or the corresponding page of this service to inquire.

3.6.2 You understand, know and agree that the service period includes reasonable time required for WOOASK to resolve faults, server repairs, adjustments, upgrades, and third-party infringement processing, and there will be no additional compensation for the time required for the above situations;

3.7 [Using Rules and Instructions]

3.7.1 Advertising: You understand and agree that WOOASK has the right to associate or display advertisements to you through the relevant software or website of WOOASK's transcription service, and does not assume the obligation to notify the advertisement. You may not change, remove or obscure these advertisements in any way, and you may not use WOOASK to associate or display any advertisements in any form. You understand and know that you should be cautious about the advertisements associated or displayed in the WOOASK transcription service. Any form of communication or business dealings between you and advertisers through the WOOASK transcription service is an act between you and the advertisers. If you suffer any consequences or losses of any nature as a result of any of the foregoing actions, you should claim your rights to the relevant advertisers.

3.7.2 In order to provide you with better platform services, WOOASK transcription may make adjustments to member rights, including but not limited to:

(1) Adjustment of the specific content of member rights;

(2) Changes in the calculation methods of membership rights and benefits;

(3) Changes to member payment methods, prices, etc.;

(4) Changes to other platform formulas;

Ⅳ. Liability For Breach of Contract

4.1 During your use of this service, you must not commit the following breaches of contract

4.1.1 Violation of this clause;

4.1.2 Violation of laws, regulations, rules, regulations and any legally effective norms and regulations;

4.1.3 Destroy and affect WOOASK's provision of this service to any third party;

4.1.4 Conduct acts that endanger the security of computer networks;

4.1.5 Cause adverse effects on the services and activities of this clause provided by WOOASK and related third parties (including authorized parties and partners), and infringe and/or related third parties WOOASK and/or the legitimate interests of other users;

4.1.6 The lawful rights and interests of any third party are deemed to be violated by the competent authority;

4.1.7 Those who use this service to obtain illegal benefits include but are not limited to making unfair profits through resale, transfer, sub-authorization, etc.;

4.1.8 Other violations of WOOASK's legitimate interests;

4.2 [Handling of Breach of Contract]

You confirm and agree that after discovering a breach of contract, WOOASK has the right to take one or more of the following measures:

(1) Take technical measures to delete, block or disconnect related information;

(2) Take measures including but not limited to suspending or terminating part or all of this service;

(3) Take measures to deduct the duration of member rights during the time when the breach of contract occurred;

(4) Take measures to restrict users' rights and interests such as uploading, downloading, playing, sharing, and storing;

(5) WOOASK does not need to refund any fees to you, and the unused service fees belong to WOOASK as liquidated damages. The loss of your related membership rights and interests is borne by you, and you should also compensate for WOOASK losses (including but not limited to attorney fees, litigation fees, etc.);

4.3 [Liability for Compensation]

If the user’s breach of contract or illegal behavior caused WOOASK to suffer losses, including its own direct economic loss, loss of goodwill, and indirect economic losses such as compensation, settlement, attorney fees, litigation fees, etc., the defendant user should compensate WOOASK for the above-mentioned Total loss. If your breach of contract causes any third-party damage, you shall bear the responsibility independently.

Ⅴ. Service Change, Suspension and Termination

5.1 The suspension or termination of this service includes the following situations

(1) The user voluntarily suspends or terminates, including but not limited to failure to renew the fee when it expires, etc.;

(2) WOOASK voluntarily suspends or terminates the service due to user breach of contract;

(3) WOOASK suspends or terminates the service due to the requirements of the state or relevant departments or when a force majeure event occurs;

(4) Other services that should or need to be suspended or terminated according to laws and regulations or WOOASK's business adjustments;

5.2 After suspending or terminating the service, WOOASK has the right but not the obligation to ensure that you receive special reminders or notices. When you find that you cannot log in or enjoy the service, you can consult our customer service.

5.3 Processing after suspension or termination:

5.3.1 Except for the responsibilities stipulated by law, WOOASK shall not be liable to the user or any third party for the suspension or termination of this service;

5.3.2 The fees collected will not be refunded;

5.3.3 For ongoing platform transactions, WOOASK will reasonably judge whether to continue or terminate the relevant transactions based on the circumstances, and decide whether to refund or deduct the relevant fees as liquidated damages according to the situation;

5.4 WOOASK transcription changes the service content, service method and the content of this agreement in accordance with the provisions of this agreement, if the member does not agree to the change of WOOASK transcription, the member has the right to cancel and stop using all or part of the corresponding services already obtained; if the member If you continue to use the above services provided by WOOASK transcription, it is deemed that the member has accepted the above adjustments of WOOASK transcription.

5.5 If a member does not agree to the modification of the terms, he can take the initiative to WOOASK transcription to request the termination of the membership service, but WOOASK transcription will not refund part of the membership service fees from the month in which the membership service is activated to the month in which the membership service is requested to be terminated; if the member continues to enjoy Member services are deemed to have been accepted by the member.

5.6 You agree that due to the peculiarities of Internet services, WOOASK has the right to modify, change, interrupt or terminate some or all of the services, or change, delete, or transfer the content that users store or upload in WOOASK based on lawful reasons, collectively referred to as "changes" behavior". WOOASK reserves the right to take the aforementioned changes without notifying you, and you agree that the service provided in accordance with any provisions of these terms of service can be changed, suspended or terminated without prior notice. And you agree that WOOASK does not need to assume any responsibility to you or any third party for any loss caused by the change.

Ⅵ. Disclaimer

6.1 You understand and agree that the content uploaded, transmitted or shared by users on the WOOASK transcription platform is the user’s personal behavior. WOOASK does not take any responsibility for the accuracy, authenticity, availability, security, integrity and legitimacy of such information and content. Sexual responsibility, you hereby agree to waive additional WOOASK related responsibilities.

6.2 When you use, share, download and other related information and content ("use behavior"), you should make independent judgments and use them legally. WOOASK does not cause any damage to yourself or third parties due to your use behavior. Take any responsibility.

6.3 You have no right to request WOOASK to bear the loss or reduction of your account or property in the account due to non-WOOASK reasons such as communication line failures, network or computer failures, system instability, force majeure (such as server downtime) of the telecommunications and Netcom departments Responsibilities such as compensation.

6.4 If you suffer any personal or financial loss, damage or injury while using the services provided by WOOASK, WOOASK shall not bear any responsibility unless expressly provided by law. As you inform others of your personal password or share your registered account with others, WOOASK does not assume any responsibility for any leakage of personal information.

Ⅶ. Notice

All notifications from WOOASK to users under this agreement can be made through web announcements, mobile phone text messages or regular mail transmission, and such notifications are deemed to have been delivered to users on the day of sending. In order to facilitate you to receive relevant notifications, you should ensure that the reserved contact information is correct and effective, and log in to WOOASK transcription to modify if changed. If you fail to provide correct contact information or notify the new contact information in time, resulting in failure to receive the notice in time, you will be responsible for the losses and legal consequences arising therefrom. WOOASK can send various notifications to you through one or several of the above methods, and the content of such notifications may have a significant beneficial or adverse impact on you. Please ensure that the contact information is effective and please pay attention to it in time.

Ⅷ. Application and Jurisdiction of Law

8.1 The laws of the People's Republic of China shall apply to the conclusion, execution and interpretation of this agreement and the settlement of disputes.

8.2 If there is any dispute between the two parties on the content of this agreement or its implementation, the two parties shall try their best to settle through friendly negotiation.

8.3 WOOASK's failure to exercise or implement any rights or provisions of this service agreement does not constitute a waiver of the foregoing rights or rights.

8.4 If any clause in this agreement is completely or partially invalid or unenforceable for whatever reason, the remaining clauses in this agreement shall still be valid and binding.

8.5 Within the scope permitted by laws and regulations, WOOASK has the right to interpret this agreement.
